Terms of Service

1. Provision of Software Services

These Terms of Service ("Terms") govern the professional engagement between Web Wise Software, LLC ("Provider") and you ("Client"). All software development, consulting, and related technical services ("Services"), including specific deliverables, timelines, and payment terms, will be outlined in a formal Statement of Work (SOW) which, upon signature, becomes a binding part of this agreement.

2. Payment Terms

The Client agrees to compensate the Provider according to the fee schedule in the SOW. Retainer fees or project milestones are typically due in advance of each service period or phase. All third-party costs, such as hosting, infrastructure, or software licenses, are the direct responsibility of the Client unless explicitly stated otherwise in the SOW. The Provider may pause all work if payments are delinquent.

3. Legal Disclaimers

The Provider will perform its Services with professional skill and care. However, the Provider does not guarantee specific business outcomes, revenue, or performance metrics. Software performance depends on many factors outside our direct control, including Client infrastructure, third-party platforms, data quality, and user behavior. Any liability of the Provider related to this agreement will be limited to the fees paid by the Client in the one (1) month prior to any claim.

4. Confidentiality

Both the Provider and the Client agree to maintain the confidentiality of all non-public information shared during the course of the engagement. This includes business strategies, source code, architecture diagrams, credentials, performance data, and client information. This obligation shall persist even after the termination of the service agreement.

5. Client Responsibilities

The Client agrees to provide timely access to necessary personnel, platforms, and information required for the Provider to perform its services. The Client is responsible for the accuracy and legality of all materials, data, and content provided to the Provider, and for decisions made based on the use of the delivered software.

6. Term and Termination

The duration of the service agreement will be defined in the SOW. Following any initial term, the agreement can typically be terminated by either party with 30 days' written notice, unless otherwise specified. The Client is responsible for payment for all services rendered up to the termination date, including any in-progress work agreed to in the SOW.

7. Governing Law

This agreement shall be interpreted and governed by the laws of the jurisdiction in which Web Wise Software, LLC is registered, without regard to conflict-of-law principles.
